General Terms and Conditions of Sale

Applicable to professional customers

ARTICLE 1 – PURPOSE

These General Terms and Conditions of Sale (hereinafter the “GTC”) govern the terms and conditions under which REFLECTIV supplies adhesive films, accessories and related products.

They apply to any order placed by a professional customer for the purpose of its business activity and do not apply to consumers within the meaning of consumer law.

REFLECTIV’s customers may include in particular:

  • Retailers
  • Craftsmen
  • Self‑employed professionals
  • Very small and small businesses
  • SMEs
  • Public authorities

ARTICLE 2 – CONTRACTUAL DOCUMENTS

The contractual documents, in order of priority, are:

The quotation or commercial proposal accepted by the customer, acting as purchase order
The invoice issued by REFLECTIV

Signature of the quotation, validation of an online order or any purchase order implies full and unreserved acceptance of these GTC, which prevail over any conflicting document issued by the customer.

ARTICLE 3 – ORDER

Orders may be placed:

  • On REFLECTIV’s website
  • By email
  • By signing a quotation
  • Directly at the company’s head office or showroom

Online orders

  1. 1.The customer selects the desired products and quantities
  2. 2.An order summary is displayed, detailing references, quantities, unit prices and totals
  3. 3.The customer reads and accepts the GTC
  4. 4.The customer confirms the order and proceeds to payment

An order confirmation is then sent by email to the address provided by the customer.

Orders by email

The customer sends its request to the following address:

commandes@reflectiv.com

REFLECTIV sends a quotation valid for ten (10) days.

The signed quotation acts as a purchase order.

ARTICLE 4 – DELIVERY

Orders are delivered to the address specified by the customer when placing the order, in metropolitan France or abroad.

Delivery times are given for information purposes only and depend in particular on product availability, order volume and the delivery area.

France

Metropolitan France: average delivery within 48 hours from dispatch

International

International: average delivery within 72 hours from dispatch

Delivery delays attributable to the carrier or to an event of force majeure may not give rise to any penalties, compensation or damages in favour of the customer.

ARTICLE 5 – TRANSPORT

Products are shipped by a carrier appointed by REFLECTIV or, where applicable, by a carrier appointed by the customer.

Unless otherwise agreed, shipping costs are invoiced in addition to the price of the products.

Shipping costs are charged as follows:

€35 excl. VAT

Metropolitan France

€58 excl. VAT

Corsica, Andorra and Monaco

Any order over €300 excl. VAT shipped within metropolitan France benefits from free shipping, except in specific cases expressly stated.

Deliveries outside these areas are subject to a specific quotation based on the destination country, weight and volume of the order.

ARTICLE 6 – COLLECTION OF GOODS

The customer may collect its order directly from the REFLECTIV showroom during the opening hours indicated on the website.

The customer may also appoint its own carrier to collect the goods.

Where the customer appoints its own carrier, the goods travel at the customer’s risk from the moment they are handed over to the carrier.

ARTICLE 7 – ORDER PRICE

Unless otherwise agreed, the applicable prices are those stated on the accepted quotation or order confirmation.

ARTICLE 8 – PAYMENT TERMS

Payments may be made by any means accepted and indicated at the time of order, including:

Bank transfer
Credit card via secure payment platform
PayPal
Secure payment link issued by the partner bank

Payment conditions

Cash payment on order for customers without an open account
Payment in accordance with the time limits granted to account customers, as contractually agreed

ARTICLE 9 – ACCOUNT CUSTOMERS

Certain professional customers may be granted specific payment terms and an account with a payment period.

Opening an account is subject to prior approval by REFLECTIV, which may request any documents and/or guarantees it deems necessary.

REFLECTIV reserves the right to amend or withdraw the granted payment terms at any time in the event of payment incidents or proven financial risk.

ARTICLE 10 – LATE PAYMENT

Unless otherwise agreed, invoices for account customers are payable within thirty (30) days from the invoice date.

Any late payment automatically and without prior formal notice gives rise to:

In the event of late payment, REFLECTIV reserves the right to suspend or cancel any current order, without prejudice to any other remedy.

ARTICLE 11 – FORFEITURE OF THE TERM

In case of non-payment of an invoice due, REFLECTIV may immediately require payment of all sums due.

ARTICLE 12 – SET-OFF OF CLAIMS

REFLECTIV may set-off any sum due by the customer with any claim it holds against that customer.

ARTICLE 13 – ELECTRONIC PROOF

Orders placed by email or via the website constitute valid contractual proof.

The computer records of REFLECTIV shall be authoritative.

ARTICLE 14 – CUSTOMER OBLIGATIONS

The customer must check the products upon receipt :

  • Condition
  • Quantity
  • References

Any non-conformity must be noted on the delivery note and reported immediately.

ARTICLE 15 – INSPECTION OF PRODUCTS BEFORE USE

The customer must inspect the products before any use.

Any installation or transformation constitutes final acceptance.

ARTICLE 16 – ACCEPTANCE BY INSTALLATION

Any installation or setup of the product constitutes recognition of its conformity.

ARTICLE 17 – MANDATORY HALT OF THE WORKSITE

If a defect is found, the installation must be suspended immediately.

Continuing the worksite constitutes acceptance of the product.

ARTICLE 18 – PRELIMINARY TEST

Before any complete installation, a preliminary test must be carried out.

ARTICLE 19 – BATCH VARIATIONS

Adhesive films are manufactured in batches.

Variations in shade or texture may exist.

REFLECTIV cannot be held responsible for the mixing of different batches.

ARTICLE 20 – COMPATIBILITY OF SUPPORTS

The customer must check the compatibility of the product with the support.

ARTICLE 21 – PLASTIC SUPPORTS AND PLEXIGLASS

Some plastic supports may release gas.

REFLECTIV cannot be held responsible for defects linked to this phenomenon.

ARTICLE 22 – STORAGE CONDITIONS

The films must be stored :

Dry environment

Appropriate storage location

Between 15°C and 25°C

Controlled temperature

ARTICLE 23 – INSTALLER'S RESPONSIBILITY

The implementation of the films lies exclusively with the installer.

ARTICLE 24 – CLAIMS

Any claim must be submitted in writing within a period of fifteen (15) days following receipt.

ARTICLE 25 – RETURN CONDITIONS

No refund will be made for the return of a product.

Any accepted return will give rise exclusively to the issuance of a credit note.

Restocking fee

€30 excl. VAT per returned roll

The credit note is valid for one (1) year.

ARTICLE 26 – COMMERCIAL WARRANTY

REFLECTIV replaces any merchandise recognized as defective within six (6) months.

ARTICLE 27 – LEGAL WARRANTY – HIDDEN DEFECTS

Article 1641 of the French Civil Code

The seller is bound by the warranty against hidden defects.

Article 1642 of the French Civil Code

The seller is not bound for apparent defects.

Article 1643 of the French Civil Code

The seller is bound by hidden defects.

Article 1646 of the French Civil Code

If the seller did not know the defects in the thing, he will only be liable for the restitution of the price.

Article 1648 of the French Civil Code

The action must be brought within a period of two years.

ARTICLE 28 – LIMITATION OF LIABILITY

REFLECTIV cannot be held responsible :

  • Installation costs
  • Removal costs
  • Loss of operations
  • Loss of turnover

ARTICLE 29 – LIABILITY CAP

REFLECTIV’s total liability may not exceed the amount of the order concerned.

ARTICLE 30 – FORCE MAJEURE

REFLECTIV may not be held responsible in case of force majeure :

Natural disasters
Fires
Strikes
Health crises

ARTICLE 31 – JURISDICTION

All disputes shall be submitted to the Commercial Court of Créteil.

ARTICLE 32 – MANDATORY TEST ZONE BEFORE INSTALLATION

Before any complete installation of a Product on a site, the Client must carry out a test zone or test surface on a limited part of the support in order to verify :

  • The compatibility of the Product with the support
  • The adhesion of the Product
  • The visual appearance of the Product (shade, texture, finish)
  • The application and installation conditions

Continuing the installation of the Product on a larger surface constitutes definitive validation by the Client of the compatibility of the Product with the support and of its appearance.

Accordingly, no claim relating in particular to the visual appearance, shade, texture or adhesion of the Product may be accepted after the installation of a significant surface of the Product.

REFLECTIV cannot be held responsible for the consequences resulting from the complete installation of a Product without first carrying out a test zone.
